Welcome to Digital Alchemy. These Terms and Conditions ("Terms") govern your use of the website located at digitalalchemy.my ("Site") and the software-as-a-service (SaaS) environments, development frameworks, and professional consulting services provided by Digital Alchemy (referred to as "the Company," "we," "us," or "our"). By accessing our Site, purchasing our service tiers, subscribing to our maintenance retainers, or executing a Statement of Work (SOW), you ("the Client") agree to be bound by these Terms.
1.1 Development Model
Digital Alchemy provides high-velocity custom web platforms, mobile software applications, and operational workflow automations. We utilize a hybrid delivery model leveraging advanced artificial intelligence (AI) automation tooling alongside expert human engineering and quality assurance to optimize deployment timelines.
1.2 Scope Boundaries
All development services are bound strictly to the specifications defined in an executed Statement of Work (SOW) or digital tier selection. Any modifications, feature iterations, or design revisions requested outside this canvas will require a formal, paid Change Request.
2.1 Payment Gateways & Currency
All transactions are processed in Ringgit Malaysia (RM) unless stated otherwise. Payments must be processed through our authorized Malaysian gateway integrations via FPX bank transfer, corporate wire, or credit card networks.
2.2 Milestone Schedules
For project-based custom software development, payments are structured around defined milestones (typically 50% deposit, 25% at UAT staging, 25% prior to live deployment). We reserve the right to halt all design, engineering, and deployment pipelines if a milestone invoice remains unpaid past its due date.
2.3 Retainers & Subscriptions
Core Uptime Maintenance and Growth & Iteration Retainers are billed on a recurring monthly basis, upfront. Failure to settle recurring dues within seven (7) days of the billing date will result in suspension of technical support SLAs and monitoring updates.
2.4 Tax & E-Invoicing Compliance
In accordance with the rules enforced by the Inland Revenue Board of Malaysia (LHDN), both parties agree to provide valid tax identification numbers (TIN), corporate registration numbers, or MyKad details necessary to generate compliant e-invoices.
3.1 Conditional Ownership Transfer
All right, title, and interest in custom source code, design assets, and database configurations created specifically for the Client will be legally assigned to the Client strictly conditional upon receipt of full and final payment of all outstanding balances.
3.2 Proprietary Developer Boilerplate
The Client acknowledges that Digital Alchemy utilizes proprietary master scripts, core architectural models, and pre-existing reusable engineering modules ("Developer Tools") to achieve high-velocity deployment speeds. Digital Alchemy retains ownership of these Developer Tools. The Client is granted a perpetual, royalty-free, non-exclusive, non-transferable license to use these tools solely within the shipped application.
3.3 Third-Party Environments
The Client is solely responsible for establishing, maintaining, and funding independent accounts for third-party cloud environments, backend infrastructures, and subscription systems (e.g., Supabase, Vercel, AWS, Stripe).
4.1 User Acceptance Testing (UAT)
Upon staging build delivery notification, the Client has seven (7) calendar days to evaluate the functional environment against the SOW criteria. If no feedback is logged within this window, the milestone is deemed approved.
4.2 Bug-Fix Warranty
We provide a complimentary thirty (30) day bug-fix warranty starting from the day of live deployment, covering functional components that fail to align with the original SOW specifications. This warranty is voided if the source code is modified by the Client or any third party, or if issues are caused by external API or third-party platform updates.
5.1 Cap on Damages
To the maximum extent permitted under Malaysian law, the aggregate liability of Digital Alchemy for any claim, operational downtime, loss of profit, data breach, or commercial damages arising out of this agreement is capped at the total amount of fees actually paid by the Client during the three (3) months immediately preceding the event giving rise to the claim.
5.2 No Incidental Damages
We are not liable for any indirect, incidental, or consequential damages resulting from platform downtime or third-party ecosystem integration behaviors.
6. Governing Law & Jurisdiction
These Terms are interpreted, governed, and enforced in accordance with the laws of Malaysia. Any dispute that cannot be settled through amicable consultation shall be submitted to the exclusive jurisdiction of the courts of Malaysia.
